Selling a business is best thought of as a process, rather than an event. With knowledge of the factors that can impact valuation and deal structure, clients are better prepared to align their day-to-day decision making with exit planning strategies. Advisors from all disciplines will benefit from understanding why it is important not to wait until it is too late to begin having these conversations.

This session covers analyzing financial statements, the definition of value (Fair Market Value vs. Fair Value), and the distinction between price and value. Case studies will illustrate practical applications, including the valuation of a law firm for a deemed disposition (departure tax), an accounting firm for acquisition financing, a grocery store for a deemed disposition (date of death), a distributor for an estate freeze, and a doctor’s office for an acquisition and capital raise. The program concludes with a questions and answers segment. Abhishek Mathews

Abhishek Mathews is a Principal at Minerva Valuations Inc. and a Managing Director at Enclave Capital LLC. He has been in the financial services industry for over fifteen years, during which he assisted in placing over $400 million in capital and has produced over 500 business valuation reports. He is one of the few business appraisers in North America who has public investment banking experience, taking entities public often while concurrently raising equity or debt capital. He is a member of the Canadian Institute of Chartered Business Valuators, member of the American Society of Appraisers and a member of the CFA Institute. He holds his Series 7, 63, 79, SIE licenses from FINRA.

Ronald John McKenna, LL.B., is a seasoned estate planning and corporate M&A advisor with a passion for providing comprehensive professional solutions to individuals and businesses. He is a Managing Director at Minerva Valuations, leading its M&A Advisory practice. With a wealth of experience and a commitment to excellence, Ronald is dedicated to guiding his clients through complex matters with clarity and precision.
